Auddia Inc. (NASDAQ:AUUD) filed a Registration Statement on Form S-4 with the U.S. Securities and Exchange Commission in connection with its merger agreement with Thramann Holdings, LLC.
The combined company will be renamed McCarthy Finney and will trade on Nasdaq under the ticker symbol MCFN upon closing. The merger agreement was originally announced on February 17, 2026.
McCarthy Finney will operate four businesses: LT350, Influence Healthcare, Voyex, and Auddia.
The businesses will operate on the McCarthy Finney Operating System, a shared platform for AI engineering and data infrastructure.
Auddia previously completed a $12 million financing that is expected to satisfy the cash at closing requirement.
The S-4 filing includes a third-party fairness opinion and financial projections for McCarthy Finney.
The transaction is subject to completion of the SEC review process.
