HUNTINGTON BEACH, Calif. - Karman Space & Defense (NYSE:KRMN) announced the pricing of an underwritten public offering of 14 million shares of common stock by certain selling stockholders at $61.00 per share.

The offering will generate total gross proceeds of approximately $854 million to the selling stockholders. The size increased from the originally proposed 13.5 million shares.

Karman will not sell any shares in the offering and will not receive any proceeds. The offering is expected to close on June 1, 2026.
