LONDON - Warpaint London PLC (AIM:W7L) on Thursday announced that its annual general meeting (AGM) will be held on June 16, 2026, at 10:00 a.m. BST at its facility in Iver, Buckinghamshire.
The company, a supplier of color cosmetics and personal care products, said it is posting its annual report for the year ended December 31, 2025, and a circular containing the AGM notice to shareholders.
Shareholders will vote on waivers of Rule 9 of the City Code on Takeovers and Mergers. The Panel has determined that Samuel Bazini, Eoin Macleod, and Neil Rodol, along with close relatives, constitute a concert party. This group holds 32,094,375 ordinary shares, representing approximately 39.73% of the company's issued share capital of 80,787,321 ordinary shares as of Wednesday.
The company seeks approval to purchase up to 10% of its issued share capital and to grant 137,735 new options under its enterprise management incentive scheme to Neil Rodol.
If the buyback is fully utilized and the new options exercised, the concert party's aggregate interest could reach approximately 44.25% of voting rights, normally triggering a Rule 9 obligation. The Panel has agreed to waive this obligation subject to independent shareholder approval.
